Our team recognises the importance of conducting in-depth due diligence and undertaking validation of facts, for facilitating the smooth execution of transactions. We are regularly involved in the following measures:



  • Due diligence of corporate documents and statutory matters;
  • Due diligence of assets: immovable and movable, including intellectual property;
  • Determination of disputes and any threatened litigation, including actions before regulatory and quasi-judicial authorities;
  • Preparing optimal disclosures and potential legal issues that may be contractual or legal impediments to the transaction or the general operations, affecting the value or consideration in connection with the transaction;
  • Reviewing obligations and entitlements under material agreements, including employment contracts, service agreements, vendor agreements, human resources policies and practices etc.;
  • Undertaking processes to verify representations and warranties, being provided for the purposes of the transaction;

We also offer post-due diligence support by:

  • Reviewing due diligence findings, identifying and quantifying risks (to the farthest extent possible);
